From identifying legal risks to acting on them. A new integration brings Emma Legal's due diligence findings into Saga, connecting what lawyers discover in the data room with the decisions, documents and actions that follow.
Amsterdam / Antwerp, 2 November 2026 – Saga and Emma Legal are partnering to bring legal due diligence closer to the rest of the M&A workflow.
Finding a risk is one thing. Knowing what to do with it is where much of the lawyer's work begins.
A finding in a due diligence report might lead to a negotiation, a change in the share purchase agreement (SPA), a request for additional information or a condition that needs to be satisfied before closing. Each step requires legal judgement, and each depends on understanding what was found in the first place.
Through a new MCP (Model Context Protocol) connection, lawyers can now bring Emma Legal's due diligence findings directly into Saga, where they can analyse risks, prepare advice, draft transaction documents and work through the next steps of a deal.
Emma brings structure to legal due diligence: reviewing the documents in the data room, identifying risks, tracking missing information and organising findings. Saga helps lawyers take that work forward into the wider transaction.
The aim is simple: less time moving information between tools, and more time spent on the legal work that matters.
Consider a tax exposure identified during due diligence. The finding itself does not resolve the issue. The lawyer still needs to assess its significance, determine the appropriate protection and reflect that decision in the SPA.
With Emma connected to Saga, lawyers can work with the finding and its supporting evidence directly in their drafting workflow. They can ask Saga to prepare a specific indemnity, suggest a warranty qualification or develop negotiation points, then review and refine the result.
The same applies when Emma identifies a change-of-control clause requiring customer consent. Saga can help prepare a waiver request based on the relevant finding and contractual context.
And when several issues need to be raised with the seller, Saga can turn those findings into an issues list to support the next round of negotiations.
Through Saga's Word integration, lawyers can draft and mark up transaction documents without leaving the tools they already use.
The important part is not just drafting faster. It is keeping the connection between the original finding, the legal reasoning behind it and what ultimately makes its way into the agreement.
Not every diligence finding ends up in the SPA. Some require a client decision, further investigation or a practical action before closing.
With Emma's insights available in Saga, lawyers can carry that information into different parts of the transaction:
Rather than starting from scratch at each stage, deal teams can build on the work already done, with lawyers reviewing the outputs and making the decisions.
Legal work rarely happens in one system. And it shouldn't have to.
Emma Legal is built specifically for due diligence. It connects to leading virtual data room providers, including Datasite, SS&C Intralinks, iDeals and Virtual Vaults, and helps lawyers review documents, apply their firm's own checks and playbooks, and keep track of findings and outstanding requests.
Saga supports the wider work of lawyers, from legal research and analysis to drafting, communication and workflows.
The MCP connection brings these capabilities together. Lawyers can access relevant Emma findings and supporting information through Saga, while Emma's existing access permissions remain in place.
The idea is not to replace specialist tools with one platform. It is to connect them in a way that reflects how lawyers actually work.
M&A lawyers and bankers have been waiting for AI that works where the actual work happens. Lawyers can now put Saga’s AI to work on their Emma Legal documents without leaving their workflow or downloading a single file. Emma Legal’s permissions stay in charge, which is exactly the level of trust legal teams need. The best AI is the one that comes to your documents, not the other way around. - Tjeu Cox, Co-founder of Saga
Drafting is only as strong as the diligence behind it. Together with Saga, our clients can carry what Emma finds straight into the next steps of the deal, with the same accuracy and quality from data room to signing. Emma finds it. Saga drafts it. Lawyers decide. - Rick van Esch, Co-founder and CEO of Emma Legal
The Emma Legal MCP connection is available for firms using both platforms.
Saga administrators can add Emma from the admin panel, after which individual lawyers can connect their Emma accounts. Access remains subject to each user's permissions in Emma Legal.
