Saga partners with Jurimesh to connect due diligence with the wider M&A workflow

Amsterdam, The Netherlands - Saga is partnering with Jurimesh, the specialist platform for legal due diligence, to connect due diligence findings with the wider legal work of an M&A transaction.  

The strategic partnership enables legal professionals to bring relevant findings, risks and recommendations from Jurimesh into Saga and access that due diligence work directly in the corresponding M&A project.

Due diligence does not end when a risk is identified. Findings need to inform transaction strategy, negotiations, legal advice and the drafting of transaction documents. Together, Saga and Jurimesh help legal teams carry the context created during due diligence into the work that follows.

From due diligence findings to transaction work

Jurimesh provides a purpose-built environment for legal due diligence. It helps transaction teams review data-room materials, identify risks and structure their findings and recommendations.

Through the MCP integration, relevant outputs from that work become available in Saga. Lawyers can use the findings, risks and recommendations from Jurimesh as context when analysing an issue, preparing advice, developing a negotiation position or drafting and revising transaction documents.

Applying findings in the SPA

The value of due diligence lies not only in identifying risks, but also in deciding how those risks should be addressed in the transaction.

For example, Jurimesh may identify risks that it recommends addressing through specific indemnities. A lawyer working on the transaction can access those findings and recommendations in Saga and ask Saga to formulate corresponding indemnity provisions for the share purchase agreement.

The lawyer remains in control: assessing materiality, determining the appropriate allocation of risk and deciding how each provision should interact with limitations, exclusions and the other negotiated terms of the SPA. Saga supports that work by making the relevant due diligence context available when the drafting takes place.

The same principle applies across the wider transaction workflow. Findings from Jurimesh can provide context for further analysis, legal research, advice, negotiations and other drafting tasks in Saga.
